These Terms of Service ("Terms") constitute a legally binding agreement between Omnity AI LTD, a company registered in England and Wales ("Omnity AI," "we," "us," "our"), and the entity or individual accessing or using our website or any of our services ("User," "you," "your").

BY ACCESSING OUR WEBSITE, CREATING AN ACCOUNT, OR USING ANY PART OF THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS IN THEIR ENTIRETY. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT USE THE SERVICE. IF YOU ARE USING THE SERVICE ON BEHALF OF AN ORGANIZATION, YOU ARE AGREEING TO THESE TERMS FOR THAT ORGANIZATION AND REPRESENTING THAT YOU HAVE THE AUTHORITY TO BIND THAT ORGANIZATION TO THESE TERMS.

1. Definitions

"Content" means any data, information, or material that you provide, upload, or make available to the Service, and any output generated by the Service based on your input.

"Service" means the proprietary software, artificial intelligence models, platforms, websites, and other offerings made available by Omnity AI.

"Omnity AI IP" means the Service and all underlying technology, software, algorithms, know-how, and artificial intelligence models, including all intellectual property rights therein.

2. The Service & Accounts

2.1. Provision of Service

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to use the Service.

2.2. Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

3. Content and Intellectual Property Rights

3.1. Your Content

You retain any ownership rights you have in the Content you create or provide to the Service. You are solely responsible for your Content and for ensuring it does not violate any applicable laws or these Terms.

3.2. Our Rights to Use Your Content

By using the Service, you grant Omnity AI a worldwide, perpetual, irrevocable, royalty-free license to use, host, store, reproduce, modify, create derivative works from, communicate, publish, publicly perform, publicly display, and distribute your Content. This license is for the limited purpose of operating, providing, securing, and improving the Service, and to develop new features and services. The use of any personal data within your Content is strictly governed by our Privacy Policy and, where applicable, our Data Processing Addendum.

3.3. Omnity AI IP

We retain all right, title, and interest in and to the Omnity AI IP. These Terms do not grant you any rights to our trademarks, logos, or other brand features.

3.4. Feedback

Any suggestions, ideas, or recommendations you provide to us regarding the Service ("Feedback") are entirely voluntary. We will be free to use such Feedback as we see fit and without any obligation to you. You hereby irrevocably assign all right, title, and interest in such Feedback to Omnity AI.

4. Subscriptions and Payment

4.1. Fees

Certain features of the Service may require payment of fees. You agree to pay all applicable fees for the subscription plan you select, as presented to you at the time of purchase. All fees are non-refundable except as required by law.

4.2. Billing

We may use a third-party payment processor to bill you. The processing of payments will be subject to the terms, conditions, and privacy policies of the payment processor in addition to these Terms.

4.3. Taxes

All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities. You are responsible for payment of all such taxes.

5. Term and Termination

5.1. Term

These Terms become effective when you first use the Service and remain in effect until terminated.

5.2. Termination

You may terminate these Terms at any time by ceasing to use the Service and deleting your account. We may suspend or terminate your access to the Service at any time, for any reason, in our sole discretion, including for any breach of these Terms.

5.3. Survival

The following Sections shall survive termination: 3, 5.3, 6, 7, 8, and 9.

6. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, OMNITY AI AND ITS SUPPLIERS EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

7. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL OMNITY AI BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, OR DATA. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO OMNITY AI IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED POUNDS STERLING (£100.00).

8. Indemnification

You agree to indemnify, defend, and hold harmless Omnity AI and its affiliates, officers, directors, and employees from and against any and all claims, liabilities, damages, and costs (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service or any Content; or (b) your violation of these Terms or any applicable law.

9. General Provisions

9.1. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of England and Wales. Any dispute arising out of these Terms shall be finally determined by arbitration administered by the London Court of International Arbitration (LCIA). The seat of arbitration shall be London, England.

9.2. Modifications

Omnity AI reserves the right, in its sole discretion, to modify these Terms at any time by posting the updated terms on its website. The "Last Updated" date at the top of these Terms will indicate when the latest modifications were made. Your continued use of the Service following the posting of any changes constitutes your acceptance of such changes. It is your responsibility to review these Terms periodically for modifications.

9.3. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Omnity AI regarding the Service and supersede all prior agreements.
